Senacor Technologies AG grows internationally and acquires the Polish software company Finanteq S.A. This marks Senacor’s second acquisition within the last 24 months and expands the company staff to more than 1,000 employees. With 140 professionals, Finanteq develops mobile app solutions for leading financial institutions – complementing the existing client and service portfolio of Senacor. Finanteq S.A. is a Lublin based company employing specialists in mobile banking who create solutions appreciated by both Polish and international customers. Finanteq S.A. customers include BNP Paribas, Santander, Danske Bank, Unicredit, National Bank of Kuwait, Arab Bank, and mBank. Over the last two years Finanteq has more than doubled its revenues, proving the high quality of the projects and services it has implemented and provided. CMT Advisory team consisting of Paweł Łągwa, Jakub Multański and Jakub Tomyślak was responsible for the comprehensive handling of the M&A process, including identifying an investor that fits best the criteria set forth by the company and its owners. Our negotiations aimed at getting the best possible deal for our customers and ensuring smooth and safe flow of the entire process.

We finalized the sell-side process during which we provided consultancy in finding an investor for STX Next – one of the largest software houses in Poland. The Warsaw based private equity fund Innova Capital acquired a majority share in STX Next.

We have concluded a transaction where we performed advisory services during the process of investor acquisition by the owners of 4Kraft Sp. z o.o. A minority stake was purchased from the owners of 4Kraft by a closed-end investment fund. A five-person strong team of CMT Advisory represented by Maciej Stradomski (Director), Paweł Łągwa (Partner), Maciej Zając (Junior Manager), Tomasz Grudziński (Junior Manager) and Michał Malarski (Analyst) was in charge of e.g.: selection of an appropriate investor, adequate preparation of the company for the process, coordination of activities between the parties and the advisors, negotiations with the investor, and a comprehensive, overall management of the entire project. 4Kraft Sp. z o.o. 4Kraft Sp. z o.o. specialises in the manufacture and sales of own-brand products with the use of cutting-edge sales channels, including its own e-commerce and auction platforms (Allegro, Amazon and eBay). The dominant brand of the company’s portfolio is Kinderkraft, offering popular children’s products (child car seats, pushcarts, bicycles, baby chairs, etc.). 4Kraft is a leader on the children’s products market in Poland and enjoys an ever-stronger position in Europe. In 2017 alone, the company sold its products directly to 28 countries across Europe.

We have provided advisory services to the owner of artgeist sp. z o.o., during the acquisition of an investor in one of the largest transactions on the e-commerce market in Poland in 2018. As a result, the Resource Partners fund acquired a 70% stake in Artgeist from its founder via a leveraged buyout. Artgeist is active in the production and online sale of wall decorative articles. A CMT team, represented by Piotr Stobiecki (CEO), Paweł Łągwa (Partner) and Marta Pszczółkowska (Senior Analyst), was responsible for comprehensive project management, including preparation of the Company for the transaction process, collection of bids from potential investors, advice on the selection of an exclusive investor, coordination between the parties and the advisers, as well as for negotiations with the investor and compilation of transaction documentation.
