We have been invited to pitch on the sale of a manufacturer of high-quality interior fittings for rail vehicles (mainly seats for city, regio, inter regio, intercity). Revenues around 10m EUR. As a result of the completed transactional process, Recaro Group, a German producer of, among others, aircraft seats and gaming chairs, acquired a controlling stake in Growag, a leader in the train seat market. Our M&A team, represented by dr Piotr Stobiecki, dr Dariusz Zawadka, Marta Latoń, Gracjan Czajka and Katarzyna Matuszak, was responsible for providing comprehensive transactional and financial advice to Growag owners. This support consisted of the preparation and coordination of the whole process, including the identification of investors, participation in negotiations, and the finalization of the deal.

Pluradent Group Acquired shares in Meditrans Sp. z o.o. duriung the second stage of the transaction. CMT Advisory represented Meditrans in sale process to Pluradent Group. Meditrans (established in 1991) is a provider of dental instruments and supplies operating in Poland. The acquiring company, Pluradent, is a distributor of dental supplies headquartered in Germany, with revenues of EUR 300m and 30 branches across the country and abroad. Pluradent not only provides instruments and materials to dentists, clinics and laboratories, but also, based on its expertise in the industry, offers a wide range of consulting services.

CMT Advisory was a financial advisor in the transaction between the Gzella Meat Group and Danish Crown’s subsidiary - the Sokołów Group. The transaction between Gzella Meat Group and Sokołów Group, a subsidiary of Danish Crown, announced in February 2018 was completed on Wednesday, May 30, 2018. During the transaction process, CMT Advisory acted as a financial advisor providing support to the selling party. Pursuant to the documents signed on May 30, 2018, the Sokołów Group (Danish Crown) took control of one of the most modern meat processing plants in Europe, along with its logistics facilities and a network of nearly 250 stores operating under the ‘Delikatesy Mięsne Gzella’ brand. The Meat Group Gzella is a valued producer of cold cuts based in Bory Tucholskie, which has been operating on the market for over 30 years. The main production plant is located in the village of Osie. Its production capacity is over 6,000 tons of meat per month. The Sokołów Group is a subsidiary of Danish Crown, global meat processing company and among the largest in its field. The Group is the World’s largest pork exporter and Europe’s largest pork processor. Danish Crown is Europe’s largest meat processing company and a significant player in the European beef market. The Group generates revenues of DKK 62bn (~EUR 8,3bn). The Sokołów Group is one of the most recognizable brands in the meat industry in Poland. It employs over 7,000 employees. Production sold in 2017 from 7 production plants and 3 subsidiaries amounted to PLN 3,7bn. The transaction value has not been disclosed.

Acquisition of a portfolio of five retail parks in Poland. The portfolio, totaling 19,000 sqm of gross leasable area, consists of 4 existing retail parks and 1 retail park under development. The retail parks are operated under HopStop brand and are located in Warsaw and regional cities of Poland. The transaction, structured as a share deal, was signed on 17th April 2018. The seller is a Polish developer Katharsis Development.

Minority stake acqusition by a financial investor

Polish housing cooperative SM Osiedle Mlodych has sold a 8.92% stake in local telecom INEA to Cyprus-based company Valuetree Investments, the seller financial advisor said. Financial details of the deal were not disclosed. Following the deal, Valuetree Investments holds a 99% stake in INEA.

Polish family Wodzynscy has acquired an undisclosed stake in local ceramic tiles producer Tubadzin and thus became the sole owner of the company.
