Patrice Guiol

Patrice founded Alpax Inc. in 2003 after 20 years of successful experience in Mergers & Acquisitions in Latin America, including: 5 years with ING as Head of the Latin American Mergers & Acquisition Group based in New York; 8 years with Banque Nationale de Paris (BNP) where he was Head of Financial Advisory Services for Latin America and Africa; and 7 years with JP Morgan. In 1982, he initiated JP Morgans Mergers and Acquisitions activities in Latin America. Patrice holds a masters degree in corporate law from Universit? de Paris II Assas and a bachelor's degree in economics and finance from the Institut dEtudes Politiques de Paris. He is a CPA and is fluent in French, English and Spanish. Patrice also understands Portuguese.

Equator Holdings ("EIH") is an investment holding controlled by Venezuelan shareholders; it focuses on buying and operating insurance companies across Latin America. Generali Peru ("GP") is the Peruvian subsidiary of the Italian insurance group Assicurazioni Generali S.p.A, one of the largest insurers in the world. Alpax acted as exclusive financial advisor to Equator Holdings.

The Sul America Group, the second largest insurance company of Brazil, associated to Dutch based ING, has agreed to sell its Peruvian Property and Casualty insurance subsidiary, Sul America Peru ("SAP"), to Equator Holdings. Equator Holdings ("EIH") is an investment holding vehicle related to a group of Venezuelan investors that specializes in insurance companies in Latin America. The joint venture agreement between Sul America and ING included the divestiture by Sul America of all its operations outside of Brazil, in order to focus its efforts on its domestic business. Alpax acted as exclusive financial advisor to the Sul America Group.

Grupo Dersa (Chile) has agreed to merge its homecenter subsidiary, Sodimac S.A. (Chile), with Grupo Falabella (Chile) in a transaction valued at 680 Million Dollars. Sodimac is a leading Latin American retailer in the Do-it-Yourself ("DIY") segment based in Chile with sales of US$600 million, and with operations in Colombia. Falabella is one of the most recognized companies in Chile and the largest department store operator in South America with presence in Argentina and Peru. Alpax acted as exclusive financial advisor to Grupo Dersa.
