IdealCap is working with the owners of a leading corrosion-prevention company, headquartered in the Gulf region and operating in 8 countries across 4 regions.

The company has consistently paid dividends for over 20 years, generates strong recurring cash flows supported by long-term service contracts, and is debt-free. The business provides end-to-end cathodic protection and corrosion-control solutions, including surveys, engineering design, material supply, installation & supervision, commissioning, and multi-year maintenance services.

It serves blue-chip clients spanning oil & gas, EPC contracting, utilities, and critical infrastructure, with a particularly strong reputation for execution quality and reliability. The company employs circa 200 technical staff, including certified engineers and specialist technicians. It has in-house assembly capabilities for automated CP monitoring systems and maintains multiple operating bases across the Middle East, South Asia, and Europe. The business still has significant global expansion potential, with no presence yet in North America or Asia-Pacific.

Fibreactive

FRP are pleased to have supported Fibreactive Limited (“Fibreactive”), a Swindon-based specialist manufacturer of fibre optic connectivity products, on its sale to discoverIE Group plc (“discoverIE”). Fibreactive supplies critical components to customers operating within energy transmission infrastructure, supporting the safe and reliable operation of essential networks worldwide.

Founded in 1997 by Stephen Clift, Fibreactive has established a strong reputation as a trusted supplier to globally recognised OEMs across the HVDC, HVAC and telecommunications markets. They design and manufacture highly engineered fibre optic systems used within high voltage energy applications, enabling the secure transmission of data in demanding operating environments. Its product portfolio includes high-voltage links, fibre optic cables and cable assemblies engineered to withstand both extreme electrical conditions and environmental exposure.

Fibreactive has been acquired by discoverIE, a FTSE 250 London Stock Exchange-listed international group of businesses focused on the design and manufacture of customised electronic components for industrial applications. The acquisition further strengthens discoverIE’s Magnetics and Controls division and enhances its exposure to attractive growth markets within energy infrastructure and telecommunications.

FRP’s Corporate Finance team acted as the lead adviser to the shareholders of Fibreactive throughout this transaction. Working closely with the shareholders, they helped prepare the business for sale, identified and engaged with a targeted pool of acquirers, developed bespoke marketing materials to clearly articulate Fibreactive’s differentiated market position, and conducted a competitive sale process. They also led commercial negotiations, coordinated the due diligence workstreams, and managed the transaction through to successful completion.

The transaction provides Fibreactive with the backing of a larger international group that shares its focus on specialist engineered products and long-term customer relationships. With demand across energy transmission infrastructure continuing to grow, Fibreactive is well positioned to benefit from discoverIE’s global reach, resources and operational capabilities, supporting the next phase of its development while continuing to serve its customers worldwide.

HV Energy Systems

We’re pleased to have advised on the sale of HV Energy Systems (HVES), a Bristol-based specialist independent connection provider, to global environmental consultancy RSK Group in a multimillion-pound deal.

Founded by engineers Craig Steven and Louis Wright, HVES is National Electricity Registration Scheme (NERS) accredited and delivers high-voltage grid connection infrastructure for renewable energy and energy storage projects across the UK. Its services include detailed design and engineering, procurement, project management, construction, installation, commissioning and energisation.

Our Corporate Finance team acted as the lead advisers to the shareholders of HVES on the sale. We worked with the shareholders and management to help prepare the business for sale, identify potential buyers, including RSK Group which was the shareholders preferred partner to take the business forward. We then led on the commercial negotiations, managing the process through to a successful completion.

Craig Steven and Louis Wright will continue to lead the business, which will be strengthened by its partnership with RSK.

For RSK, the acquisition reinforces its focus on end-to-end delivery across renewables, energy storage and wider infrastructure. It also strengthens the group’s integrated service offer, while retaining HVES’s delivery-led operating model.

Project Zephyr – GEV Wind Power

GEV Wind Power (GEV), a global specialist services provider to the wind energy industry, has been acquired by Certek in a deal led by our Corporate Finance team.

Based in East Yorkshire, GEV provides inspection, monitoring, rope-access and maintenance services to on-and offshore wind turbines across the globe. GEV’s client base includes the world’s biggest OEMs and wind farm operators and is the recognised market leader in the blade services niche. GEV has been backed by Bridges Fund Management (Bridges) since June 2019.

GEV supports its clients through its operational hubs in North America, UK & Europe and Australia, deploying in-field technicians who support the owners of thousands of wind turbines across four continents. The company executes more than 300 individual projects annually with its specialist pool of more than 500 technicians.
