FRP Corporate Finance was pleased to advise The Vella Group on its acquisition of RGM Vehicle Body Repairs.
The deal sees The Vella Group, one of the UK’s leading vehicle accident repair providers, expand its footprint into Wales and deepen its specialisms, enhancing its service to customers seeking vehicle repairs following accidents.
Family-owned accident repair specialist, RGM Vehicle Body Repairs has been serving motorists across South Wales for more than 50 years. The business was originally founded by Robert Morgan and is now led by Paul Morgan.
As part of the transaction, Paul will remain with the business on a consultancy basis to help ensure a smooth transition for its 40 colleagues, its customers and partners.
FRP’s Corporate Finance team advised on offer structure, project managed due diligence workstreams and led negotiations on equity price adjustments. This marks the fifth deal on which they have advised The Vella Group.
Elite Vehicle Supplies
We’re pleased to have advised the shareholders of Elite Vehicle Supplies, a specialist supplier of fire suppression, safety and accessibility solutions for the bus and coach industry, on its merger into fleet safety solutions provider, Vehicle Accessories Solutions Ltd T/A Motormax.
The deal marks the launch of Motormax Group, creating a broader platform for long-term growth and strengthening both businesses’ position in the UK commercial fleet and passenger transport safety market.
Elite Vehicle Supplies has built a strong reputation across the bus and coach sector, working with leading operators, vehicle manufacturers and regulatory bodies, including Transport for London. Elite brings specialist expertise across passenger transport safety, with technologies including UNECE Regulation R107 automatic fire suppression systems for vehicles and EV charging infrastructure, Driver Fatigue Systems, Alcohol Interlock Systems, Passenger Intercom Systems and Auri™ next-generation assistive listening technology.
Founded in 2010, Motormax is a UK fleet safety technology company specialising in the design, manufacture and installation of innovative safety solutions. Working with the UK’s largest fleet operators and vehicle converters, the company combines technical expertise with tailored solutions and end-to-end support to reduce risk, improve operational performance and meet evolving regulatory and compliance requirements.
In 2025, Motormax secured strategic investment from MxP Partners LLP, accelerating the company’s growth strategy through increased investment in research and development, enhanced engineering capability, and expansion into new sectors and international markets. MxP Partners LLP is a UK private equity investment firm focused on supporting the growth of ambitious businesses. By combining long-term investment with strategic and operational expertise, MxP partners with management teams to accelerate growth, strengthen market positions and build industry-leading companies.
Our Manchester Corporate Finance team acted as advisers to the shareholders of Elite Vehicle Supplies.
The team worked with the shareholders to prepare the business for investment, and through their extensive sector expertise were able to identify Motormax as a key strategic investor. They managed negotiations and coordinated the transaction process through to completion. Under the new structure, Elite Vehicle Supplies will continue to operate under its established brand, with its existing employees remaining in place and founders Scott Forman and Jayne Forman remaining in the business as managing director and operations director respectively.
Project Avon – The Vella Group
We’ve advised The Vella Group, one of the UK’s largest and fastest-growing accident repair businesses, on two acquisitions that take the group to 20 sites across England and Wales.
Established over 40 years ago by Karl Vella MBE, The Vella Group has grown significantly in recent years to become one of the UK’s most trusted automotive repair providers, with a reputation for high repair standards and a clear focus on sustainable growth. The business is backed by private equity firms Ama Capital and Keyhaven Capital Partners and already operates repair centres in Deeside and Chester serving North Wales and the border, building on a long-standing relationship with our Corporate Finance team.
The Group has now acquired UK Carbody, a highly regarded independent repairer based in Avonmouth, Bristol, and GB Flint Coachworks, a family-run independent repairer serving Nottingham, Derby and Leicester. Together, these acquisitions form the latest stage in The Vella Group’s ongoing buy-and-build strategy, strengthening its footprint in the South West and East Midlands and enhancing its ability to support insurer, network management and fleet partners
We acted as buy-side advisers to The Vella Group on both transactions. The team led negotiations on each offer, project managed the due diligence workstreams and provided commercial input throughout the legal negotiations, helping The Vella Group to secure the best possible outcome on both deals.
The transactions mark the latest stage in FRP Corporate Finance’s ongoing relationship with The Vella Group, having previously advised the management team on its private equity-backed buyout and supported the business in securing an acquisition finance and growth package to fund its expansion strategy.
The Vella Group
We’re pleased to have advised the management team of a leading automotive repair group on its private equity-backed management buyout of the business.
Founded in 1986 by Karl Vella MBE, The Vella Group is one of the UK’s most trusted and respected automotive repair providers. The business currently operates across 18 centres in the North of England, the Midlands and North Wales – six of which have opened in the past 18 months – and employs over 470 people to help its customers get back on the road after an accident.
The team at The Vella Group, led by Managing Director Marc Holding, has now completed a buyout of the business with the backing of private equity firms Ama Capital and Keyhaven Capital Partners, who specialise in supporting companies in the lower-mid market.
Our Corporate Finance team acted as advisers to the shareholders of The Vella Group on this deal. We prepared the marketing materials for the business while running a targeted search process to identify a suitable pool of investors. Once Ama Capital and Keyhaven Capital were chosen as the ideal partners to support the buyout, we then led on negotiations and managed the deal through to completion.
The investment from Ama and Keyhaven will see them acquire a majority stake in the business, as they use their funds and experience in the sector to help The Vella Group continue its site acquisition strategy across the UK.

We have a mandate to sell a UK based Trucks servicing and dealing company.
The company has large logistic customers, 5+ locations with a strong regional presence strategically located near UK ports. The company also sells vans but this makes up a much smaller part of the business.
